3) Scope of Services (Marketing / Consulting)
Biz Buzz may offer marketing-related services such as SEO, website work, content creation, paid ads support, call tracking/automation support, consulting, and similar services. Any deliverables, timelines, pricing, and scope will be outlined in a proposal, statement of work, invoice, or written agreement (each an “Order”).
If there’s a conflict between these Terms and an Order, the Order controls only for that specific engagement.
4) No Guarantees / Results Disclaimer
Marketing performance depends on many factors outside our control (platform changes, competition, budgets, industry restrictions, compliance, website condition, client responsiveness, and more).
We do not guarantee specific outcomes (including rankings, leads, conversions, revenue, review counts, ad approvals, or account reinstatements). Any examples, projections, or estimates are informational only.
5) Client Responsibilities
If you engage us for Services, you agree to:
provide timely access to required accounts (website/admin, analytics, ad platforms, GBP, hosting, DNS, etc.),
provide accurate business information and required approvals,
comply with all applicable laws and platform policies (including advertising and messaging rules),
maintain backups of your website/data unless we explicitly agree in writing to do so.
Delays caused by missing access, approvals, content, or feedback may shift timelines.
6) Payments, Fees, and Refunds
Unless otherwise stated in an Order:
Fees are due as listed on invoices or checkout pages.
Late payments may pause work and/or access to deliverables until paid.
Third-party costs (hosting, domains, plugins, ad spend, call tracking, SMS/phone usage, software subscriptions, etc.) are typically billed directly by the vendor unless we explicitly agree otherwise in writing.
Refunds: Because marketing and digital services often involve time-based work and non-returnable deliverables, payments are generally non-refundable once work begins, unless an Order states otherwise.
7) Intellectual Property
Our Materials
We (or our licensors) own the Site, branding, templates, methods, processes, and any non-client pre-existing materials (“Biz Buzz IP”). You may not copy, resell, or redistribute Biz Buzz IP without written permission.
Client Materials
You retain ownership of materials you provide (logos, photos, copy, data, etc.). You grant us a limited license to use them solely to provide the Services.
Deliverables
Unless an Order says otherwise, upon full payment you receive a license to use the final deliverables we create for you for your business purposes. We may reuse general know-how, techniques, and non-identifying concepts.
8) Use of the Site (Acceptable Use)
You agree not to:
violate any law or regulation,
attempt to gain unauthorized access to systems, accounts, or data,
introduce malware, scrape the Site, or overload it,
post or transmit unlawful, infringing, abusive, or misleading content,
impersonate any person or misrepresent your affiliation.
We may suspend or block access if we believe your use poses risk to the Site, our business, or others.
9) User Content & Submissions
If you submit forms, text, files, feedback, reviews, or other content (“Submissions”), you represent that you have the right to share it and that it does not violate others’ rights.
You grant us the right to use Submissions to operate, improve, and provide the Services. We won’t sell your confidential intake information as “Submissions,” but we may use anonymized feedback for improvements.
10) SMS/Text Messaging Terms (If You Opt In)
If you opt in to receive SMS/text messages from Biz Buzz (for example by checking an optional consent box on a form, requesting a quote, scheduling, or initiating a text conversation), you agree to the following:
Consent: You authorize Biz Buzz to send you text messages at the number you provide. Consent is not a condition of purchase.
Message Purpose: Messages may include appointment or project updates, service information and account/support communication
Message Frequency: Message frequency varies based on your interaction and preferences.
Costs: Message and data rates may apply.
Opt Out: Reply STOP at any time to unsubscribe. You may receive a final confirmation message.
Help: Reply HELP for assistance, or contact us through the Site.
Number Ownership: You confirm you are the subscriber or authorized user of the number you provide.
Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.
Privacy: We use your information in accordance with our Privacy Policy.
If you have a dispute about SMS consent, you agree to contact us first to attempt to resolve it.
11) Third-Party Links & Tools
The Site may link to third-party websites or services (e.g., Google, Meta, hosting providers, CRMs, call tracking, SMS platforms). We don’t control them and aren’t responsible for their content, policies, outages, or decisions.
12) Confidentiality (Client Work)
If we receive non-public business information from you in connection with providing Services, we will treat it as confidential and use it only to perform the Services, unless:
you authorize disclosure,
it’s already public through no fault of ours,
disclosure is required by law.
13) Security & Availability
We work to keep the Site reliable, but we can’t guarantee uninterrupted access. The Site may be unavailable due to maintenance, vendor outages, or events beyond our control.
14) Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
BIZ BUZZ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION).
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING).
Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you.
16) Indemnification
You agree to defend, indemnify, and hold Biz Buzz harmless from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising out of:
your misuse of the Site/Services,
your violation of these Terms,
your violation of law or third-party rights,
your content, ads, messaging, or business practices.
17) Termination
We may suspend or terminate your access to the Site or Services at any time if:
you violate these Terms,
required payments aren’t made,
your actions create legal/compliance risk,
we discontinue the Site/Services.
Termination doesn’t eliminate obligations that should survive (payment due, IP, confidentiality, limitations of liability, etc.).
18) Changes to These Terms
We may update these Terms occasionally. The “Last updated” date reflects the latest changes. Your continued use after updates means you accept the revised Terms.
19) Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Biz Buzz is based, unless otherwise required by law.
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally.
20) Privacy Policy
Your use of the Site is also subject to our Privacy Policy (available on the Site). If there’s a conflict between these Terms and the Privacy Policy regarding data handling, the Privacy Policy controls.
